All our offers as well as deliveries and services shall be made exclusively on the basis of these terms and conditions, which shall also apply to all future business relationships. Any deviating provisions require our written consent. Partial deliveries are permissible provided that they are reasonable for the customer.
All offers are subject to change and non-binding. Ancillary agreements shall only become effective, if they have been confirmed in writing.
The agreed prices do not include the statutory VAT in Zweibrücken, excluding packaging and freight. The offer validity period is clearly shown in the respective offer.
With respect to the deadline for the delivery or performance of services, the mutual written statements shall be definitive. Compliance with the deadline requires: the timely receipt of all documents, approvals or components to be provided by the customer
The seller is entitled to make additional or short deliveries of up 5% at any time. Short deliveries must be reported by the buyer within 2 weeks.
Delivery delays due to force majeure (both strikes and lockouts, including those affecting upstream suppliers) shall entitle the seller to demand a reasonable grace period or to cancel the delivery contract in whole or in part. No claim for compensation shall result.
The risk shall pass to the customer once the goods to be delivered have been shipped or collected.
Packaging is carried out in the customary manner.
Shipping takes place via parcel services, if no other contractual provision has been agreed.
The supplier guarantees that the goods delivered by them are error-free and have the guaranteed characteristics. The guarantee period is 12 months. The warranty is limited to the repair or replacement of those components, which become unusable due to a faulty design or poor workmanship. A warranty for defects resulting from faulty or negligent operation is excluded.
In any case, warranty claims must be asserted in writing immediately on discovery.
The place of performance shall always be the supplier’s registered office. Warranty claims shall expire 12 months after notification of the complaint or 24 months after purchase.
The products shall remain the supplier’s property until each and every claim resulting from the business relationship regarding the customer has been fulfilled. Any pledging or transfer by way of security prior to this is prohibited, and resales are only permitted to resellers in the normal course of business, provided that the latter receive cash payments from their customers.
All invoices must be paid within 8 days, with a 2% discount, or be paid within 30 days of the invoice date strictly net.
Cancellations of orders can only be considered if they are made in writing and within 5 days from receipt of the order.
